Terms of Service

These Terms of Service ("Terms") govern the use of the platform Agentes Virtuales MX ("the Platform"), operated by LiveSoft Labs Mx ("we", "us"). By using our services, you accept these Terms in their entirety.

1. Service Description

Agentes Virtuales MX is a SaaS (Software as a Service) platform that provides:

• ASC (Customer Service Agent): conversational AI agent that serves customers through WhatsApp 24/7.
• AAE (Executive Assistant Agent): private AI copilot for the business owner, with CRM, automations, and productivity tools.

2. Plans and Pricing

We offer the following monthly subscription plans:

Prices are subject to change with 30 days' notice. USD and BRL payments are processed through Stripe; MXN payments are processed through Mercado Pago.

3. Registration and Account

• You must provide truthful and current information when registering.
• You are responsible for maintaining the confidentiality of your access code (passcode).
• One account corresponds to one business (tenant). Sharing credentials with unauthorized third parties is not permitted.
• We reserve the right to suspend accounts that violate these terms.

4. Acceptable Use

By using the Platform, you commit to:

• Not using the service for spam, harassment, fraud, or illegal activities.
• Not sending unsolicited bulk messages through the WhatsApp agent.
• Not attempting to access data or accounts of other users.
• Not reverse engineering, decompiling, or making unauthorized copies of the software.
• Not intentionally exceeding your plan limits (conversations, tokens).
• Complying with WhatsApp/Meta commercial messaging policies.

5. User Content

• You retain ownership of all content you upload to the platform (documents, training data, business information).
• You grant us a limited license to process your content solely for the purpose of providing the contracted service.
• You are responsible for ensuring that the provided content does not infringe third-party rights.

6. Service Levels (SLA)

• Target availability: 99.5% monthly (excluding scheduled maintenance).
• Maintenance: will be performed preferably during low-demand hours with advance notice when possible.
• Support: available via WhatsApp during business hours (Monday to Friday, 9:00–18:00 CST). Premium plan includes priority support.

7. Payments and Billing

• Subscriptions are billed monthly in advance.
• Payment is processed through Mercado Pago. We accept credit/debit card, bank transfer, and OXXO.
• Refunds are evaluated case by case within the first 7 days of contracting.
• Non-payment will result in service suspension after a 5-day grace period.

8. Suspension and Termination

• By the user: you can cancel your subscription at any time. The service will continue until the end of the paid period.
• By us: we may suspend or terminate your account for violation of these terms, non-payment, or suspicious activity, with prior notice when possible.
• Post-cancellation data: your data will be retained for 30 days after cancellation, during which time you can request an export.

9. Intellectual Property

• The Platform, including Agent Core, design, source code and documentation, is the exclusive property of LiveSoft Labs Mx.
• Your use of the Platform does not grant you any intellectual property rights over the software.
• "Agentes Virtuales MX", "Agent Core", "ASC", "AAE" and "SAVA" are trademarks of LiveSoft Labs Mx.

10. Limitation of Liability

• The service is provided "as is". We do not guarantee that it will be uninterrupted or error-free.
• We are not responsible for responses generated by AI that are inaccurate or inappropriate. The user is responsible for properly configuring and training their agent.
• Our total liability is limited to the amount paid by the user in the last 3 months of service.
• We are not responsible for indirect damages, loss of revenue or lost profits.

11. Third-Party Integrations

The Platform integrates with third-party services (WhatsApp/Meta, Google Gemini, Mercado Pago). Your use of these integrations is subject to each provider's terms. We are not responsible for interruptions or changes to third-party services.

12. Modifications

We reserve the right to modify these Terms. Significant changes will be notified at least 15 days in advance through the platform or email. Continued use after notification constitutes acceptance of the new terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United Mexican States. Any dispute shall be resolved before the competent courts of Oaxaca de Juárez, Oaxaca, Mexico.
